Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern the relationship between FINBPM LIMITED ("FINBPM", "we", "us", "our") and its merchants ("Merchant", "you", "your"). FINBPM LIMITED is a company registered in Gibraltar under company number 126267, with its registered address at Unit G02, EuroCity, Europort Avenue, Gibraltar GX11 1AA, operating as a master merchant under the laws of Gibraltar. By applying for, accessing, or using FINBPM’s services, you agree to be bound by these Terms.

2. Scope of Services

FINBPM provides payment processing, merchant aggregation, and related financial and technical services to approved merchants in accordance with applicable laws and regulations. All services are provided subject to acceptance, ongoing compliance, and these Terms.

3. Merchant Eligibility

3.1 Geographic Restrictions

FINBPM only accepts merchants that are legally registered and operating within: - The European Economic Area (EEA); and - The United Kingdom (UK). Merchants registered, incorporated, or primarily operating outside the EEA and the UK are not eligible to use FINBPM’s services.

3.2 Regulatory and Licensing Restrictions

FINBPM does not accept merchants that:

  • Are subject to mandatory regulatory authorization, registration, or licensing;
  • Require any form of governmental, financial, professional, or statutory license to operate their business lawfully.

This includes, but is not limited to, businesses operating in regulated sectors such as: - Financial services; - Investment services; - Banking and lending; - Insurance; - Gambling and betting; - Cryptocurrency and digital asset services; - Payment institutions and e-money services; - Healthcare and pharmaceuticals; - Legal and professional advisory services; and - Any other regulated activities. Merchants are responsible for determining whether their business is subject to licensing or regulation. FINBPM reserves the sole right to determine merchant eligibility.

3.3 Ongoing Compliance

Merchants must immediately notify FINBPM of any change in their regulatory status, licensing requirements, or jurisdiction of registration. Failure to do so may result in immediate termination.

4. Merchant Obligations

The Merchant agrees to:

  • Provide accurate, complete, and up-to-date information during onboarding and throughout the business relationship;
  • Operate in compliance with all applicable laws and regulations;
  • Maintain lawful business activities at all times;
  • Refrain from engaging in fraudulent, deceptive, or misleading practices;
  • Cooperate with FINBPM’s compliance, audit, and verification processes.

5. Prohibited Activities

Merchants must not use FINBPM’s services for:

  • Any regulated or licensed activity;
  • Illegal, fraudulent, or deceptive transactions;
  • Money laundering or terrorist financing;
  • Sanctioned or restricted activities;
  • Sale of prohibited goods or services;
  • Circumventing regulatory, legal, or compliance obligations.

FINBPM reserves the right to update its list of prohibited activities at any time.

6. Onboarding and Due Diligence

FINBPM conducts due diligence, know-your-customer (KYC), and compliance checks prior to and during the provision of services. Merchants agree to provide all documentation and information reasonably requested by FINBPM. FINBPM may refuse, suspend, or terminate services at its sole discretion if onboarding or compliance requirements are not satisfied.

7. Fees and Payments

Fees for FINBPM’s services shall be agreed separately in writing. FINBPM reserves the right to amend fees with reasonable notice, subject to applicable law.

8. Suspension and Termination

FINBPM may suspend or terminate services immediately if:

  • The Merchant becomes subject to licensing or regulatory requirements;
  • The Merchant operates outside the EEA or UK;
  • The Merchant provides false or misleading information;
  • The Merchant breaches these Terms;
  • Legal or regulatory requirements so demand.
  • Upon termination, FINBPM may withhold settlement funds as required by law or for risk management purposes.

9. Representations and Warranties

The Merchant represents and warrants that:

  • It is duly incorporated and validly existing within the EEA or UK;
  • It does not require any license or regulatory authorization to conduct its business;
  • Its activities are lawful and compliant with all applicable regulations;
  • All information provided to FINBPM is accurate and complete.

10. Limitation of Liability

To the maximum extent permitted by law, FINBPM shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or business. FINBPM’s total liability shall not exceed the fees paid by the Merchant in the preceding twelve (12) months.

11. Indemnification

The Merchant agrees to indemnify and hold harmless FINBPM, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from: Breach of these Terms; Regulatory or licensing violations; Illegal or unlawful activities; Misrepresentation or fraud.

12. Confidentiality

Each party agrees to keep confidential all non-public, proprietary, or sensitive information received in connection with these Terms, unless disclosure is required by law.

13. Data Protection

FINBPM processes personal data in accordance with applicable data protection laws, including GDPR and UK GDPR, where applicable. Further details are provided in FINBPM’s Privacy Policy.

14. Amendments

FINBPM may amend these Terms from time to time. Updated Terms will be made available to Merchants and shall become effective upon publication or notification.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Gibraltar. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gibraltar.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between FINBPM and the Merchant in relation to the subject matter and supersede all prior agreements or understandings.
